1) Who we are

NEWAM^AI (the "Platform") is operated by and winter s.r.o., a company incorporated under the laws of the Slovak Republic, with its registered office at Černyševského 10, 851 01, Bratislava, Slovakia, company registration number 46094873 ("NEWAM^AI", "we", "us", "our").

2) What NEWAM^AI is

NEWAM^AI is a platform that helps people ("Clients") find and work with independent AI consultants ("Consultants") through intro calls, sessions, and/or ongoing retainers.

• Consultants are independent providers, not our employees.
• When a Client works with a Consultant, the actual consulting service is delivered by the Consultant.

3) Your account

To use certain features, you may need an account.

You agree to:

• be at least 18 years old (or the age required to enter into a contract where you live),
• provide accurate information and keep it up to date,
• keep your login details secure and notify us if you suspect unauthorized access.

4) How engagements work

NEWAM^AI supports the practical flow of working together (matching, messaging, scheduling, payments). Specific details (pricing, included hours/credits, cancellation settings) are shown in the Platform during signup/checkout and in your account.

Clients

You're responsible for:

• choosing a Consultant that fits your needs,
• providing clear inputs (goals, context, constraints),
• deciding how you use the Consultant's output in your business.

Consultants

You're responsible for:

• delivering your services professionally,
• setting and honoring your availability and scope with Clients,
• your own taxes and any registrations you may need as an independent provider.

5) Payments, plans, and fees

Payment processing

Payments on NEWAM^AI are processed through a third-party payment provider (currently Stripe). Depending on the feature you use, you may pay per session, per month (retainer), or via a credit/hour system shown in the Platform.

What you pay and when

The Platform will show you:

• the price and billing cycle (if any),
• what is included (e.g., hours/credits),
• any platform fees and applicable taxes.

By making a purchase, you authorize us (and/or our payment provider) to charge your chosen payment method.

Changes and cancellations

You can typically cancel or change your plan from your account (or by emailing support). The effective date of changes (immediate vs next billing cycle) is shown in the Platform at the time you make the change.

Refunds and adjustments

We aim to handle issues fairly and in good faith. If something goes wrong, contact office@newam.ai and we'll review it. Any refunds, credits, or adjustments are handled based on the circumstances, any information shown at checkout, and any mandatory rights under applicable law.

6) Communication, content, and conduct

We want NEWAM^AI to stay professional and helpful.

You agree to:

• use the Platform in a lawful and respectful way,
• not misuse the Platform (e.g., interfere with security, scrape, or attempt unauthorized access),
• not post content you don't have the right to share.

7) Reviews and feedback

If you leave reviews or feedback, please keep it honest, relevant, and respectful. We may remove content that clearly violates these Terms or applicable law.

8) Intellectual property

Our platform

The Platform, including its software, branding, design, and content (excluding user content), belongs to us or our licensors.

We grant you a limited, non-exclusive, non-transferable right to use the Platform for its intended purpose while you follow these Terms.

Your content

You keep ownership of what you upload or submit ("User Content"). You grant us a limited license to host, display, and process your User Content only as needed to operate and improve the Platform (e.g., profiles, messaging, support, moderation, and platform analytics).

9) Privacy

We process personal data in line with our Privacy Policy. Please read it to understand what we collect and why. Privacy Policy

10) Platform availability and changes

We're an early-stage product and will improve the Platform over time. This means:

• features may change, be added, or be removed,
• the Platform may be temporarily unavailable for maintenance or technical reasons.

11) Suspension and termination

You can stop using NEWAM^AI at any time.

We may suspend or terminate access if needed to:

• protect users, the Platform, or security,
• address misuse or suspected fraud,
• comply with legal obligations.

If we terminate or you stop using the Platform, sections that should logically continue (like intellectual property, liability limits, and governing law) will remain in effect.

12) Liability (kept simple)

We do our best to run a reliable platform, but no online service is perfect.

To the extent allowed by law:

• the Platform is provided "as is" and "as available",
• NEWAM^AI's total liability related to the Platform will not exceed the amount you paid to NEWAM^AI in the 3 months before the event that gave rise to the claim,
• we're not liable for indirect or consequential losses (like lost profits or business interruption).

Nothing in these Terms limits liability that cannot be limited under applicable law.

13) Governing law

These Terms are governed by the laws of the Slovak Republic.

If you're a consumer in the EU, you may also have the right to bring claims in your country of residence and to rely on mandatory consumer protections.
